These Terms of Service ("Terms") govern your use of EnhanceBMT's website, services, and solutions. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

3. Service Agreements

Specific services will be governed by separate Service Agreements or Statements of Work (SOW) that will detail:

• Scope of services and deliverables
• Timeline and milestones
• Pricing and payment terms
• Specific terms and conditions applicable to the engagement

4. User Responsibilities

You agree to:

• Provide accurate and complete information
• Cooperate in good faith with our service delivery
• Comply with all applicable laws and regulations
• Protect any access credentials provided to you
• Not use our services for any unlawful or prohibited purposes

5. Intellectual Property Rights

Our Intellectual Property: All content, software, methodologies, and materials developed by EnhanceBMT remain our intellectual property unless otherwise specified in writing.

Client Data: You retain ownership of your data and business information. We will use your data solely for providing services as outlined in our Privacy Policy.

Custom Solutions: Intellectual property rights in custom-developed solutions will be specified in individual Service Agreements.

6. Payment Terms

Unless otherwise specified in a Service Agreement:

• Payment terms are typically 30 days from invoice date
• Late payments may incur interest charges as permitted by law
• All fees are exclusive of applicable taxes
• Disputed invoices must be raised within 30 days of receipt

7. Confidentiality

Both parties acknowledge that confidential information may be disclosed during the course of our engagement. We maintain strict confidentiality protocols and will protect your business information in accordance with our Privacy Policy and applicable data protection laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENHANCEBMT'S LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless EnhanceBMT from any claims, damages, or expenses arising from your breach of these Terms or your use of our services in violation of applicable laws.

10. Termination

Either party may terminate ongoing services:

• With 30 days' written notice for convenience
• Immediately for material breach that remains uncured after 15 days' notice
• Immediately if the other party becomes insolvent or files for bankruptcy

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Netherlands and the European Union. Any disputes shall be resolved through:

• Good faith negotiations
• Mediation if negotiations fail
• Final resolution through the courts of the Netherlands

12. EU Consumer Rights

If you are a consumer located in the European Union, you have additional rights under EU consumer protection laws, including the right to withdraw from certain contracts within 14 days. These rights are not limited by these Terms.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or prominent website notice at least 30 days before the effective date of changes.
